Definition of ‘hypermarket’
In Malaysia, a hypermarket is defined as a standalone, self-service retail store with a sales floor area of 5,000 square metres or more that sells a wide range of consumer goods, including food and non-food products in different transaction sizes, quantities and forms of packaging.
Requirements
Foreign participation in hypermarket operations is tightly regulated, and compliance with the following is mandatory.
Local incorporation
- All hypermarkets with foreign equity must be locally incorporated under the Companies Act 2016.
- This requirement also applies to businesses previously operating as foreign branches.
Minimum capital requirement
- The minimum capital investment is RM50 million.
- This refers to shareholders’ funds, which include:
- Paid-up capital
- Reserves
Mandatory Bumiputera Equity
- Hypermarket operators must allocate at least 30% equity to Bumiputera interests.
- A grace period of up to three (3) years may be granted by KPDNHEP upon approval.
Note: Hypermarket operators cannot open a new branch unless it has fulfilled the 30% Bumiputera equity requirement.
Operational conditions
Branch expansion planning
Indicative plans for additional branches must be submitted to KPDNHEP, and at least two (2) years in advance before an application is considered.
Commencement of operations
Approved hypermarkets must commence operations within two (2) years from the date of approval by KPDNHEP.
Store size and format
Minimum sales floor area: 5,000 square metres and above, and any increase or reduction in sales floor area requires prior approval from KPDNHEP.
Furthermore, hypermarkets are:
- Allowed only on a standalone basis
- Permitted on the outskirts of major towns
- Required to provide basic amenities
Approval for additional branches
- All new branches are subject to KPDNHEP approval.
Bumiputera SME product allocation
At least 30% of total Stock Keeping Units (SKU) displayed on shelf space must be allocated to Bumiputera SME goods and products, to be fulfilled within three (3) years of operation for each outlet.
Supplier Access Rules
Hypermarket operators must formulate clear rules and criteria for suppliers and ensure transparent access for suppliers to market their products.
Permitted operating hours
General operating hours in all states except Kedah, Kelantan & Terengganu are 10.00 a.m. – 10.00 p.m. for Monday to Thursday & Sunday, and 10.00 a.m. – 12.00 midnight on Friday & Saturday. For Kedah, Kelantan & Terengganu general operating hours are 10.00 a.m. – 10.00 p.m. for Sunday to Wednesday & Saturday and 10.00 a.m. – 12.00 midnight on Thursday & Friday.
General operating hours on public holidays and festivals are 10.00 a.m. – 12.00 midnight and 10.00 a.m. – 12.00 midnight seven (7) days leading up to them.
Environmental and public interest requirements
Parking facilities
Must comply with local authority or town council requirements, and provide a minimum of:
- 50 parking lots per 1,000 square metres of business floor area, or
- The higher requirement imposed by the local authority
Ancillary Businesses
Operators must provide business space for ancillary businesses at a reasonable rental rate.
Location Restrictions
Hypermarkets are not allowed within a 3.5 km radius of residential areas and town centres, and are limited to one (1) hypermarket per 250,000 residents. They are not permitted in areas under local authorities with fewer than 250,000 residents.
